Joseph Stead serves as a Securities Attorney for Red Rock Securities Law and uses his eclectic background to provide a variety of services to his clients. His primary focus is preparation of private securities offering documentation under Regulation A+, Regulation CF, and Regulation D. Additionally, he simultaneously advises clients on a wide array of corporate governance and transactional business matters, providing ongoing general counsel to ensure and bolster long-term success for his clients.
Drawing on more than a decade of cross-disciplinary legal experience, Joseph delivers an integrated and strategic approach to client representation. His ability to view matters through multiple legal and business lenses enables him to anticipate challenges, uncover opportunities, and craft sophisticated solutions designed to achieve optimal outcomes.
Prior to his legal career, Joseph worked as an Assistant Vice President at Citigroup, where he worked on risk assessments, financial analysis and banking regulations. He was also a business analyst in back-office Treasury Operations at M&T Bank where he worked extensively on the collateral and derivatives desks.
Joseph attended Duquesne University School of Law in Pittsburgh, Pennsylvania, where he focused his studies on business organizations, corporate governance, securities and cryptocurrency regulations, intellectual property and related transactional matters. In law school, Joseph conducted extensive research and co-authored numerous publications pertinent to SEC and CFTC regulation and oversight, investing, blockchain technology, business management and corporate governance. He also received the CALI Award for Excellence in Trade Secret Law.
Before joining Red Rock Securities Law, Joseph began his legal career as a business transactions associate at MacDonald, Illig, Jones & Britton, a mid-size firm in Erie, Pennsylvania, where he built the foundation of his business and transactional knowledge. Later, Joseph transitioned to Capital Fund Law Group, a boutique firm with a concentration on hedge fund formations and Regulation D securities offerings. In 2022, Joseph took his years of experience in banking, risk, securities regulation and corporate governance to private practice, becoming a solo practitioner and starting his own law office, Stead & Associates, in the East Valley. Joseph is admitted to the bar in Arizona, the U.S. District Court of Arizona, the United States Tax Court, and the United States Bankruptcy Court.
Before his corporate and legal careers, Mr. Stead honorably served for six years as an Airman in the United States Air Force. In this capacity, he was integral in military training and monitoring, coordinating and leading large operational teams, and supervising ramp and cargo procedures here, in the United States, and abroad during his combat tour in Afghanistan. For his service, he was awarded the Afghanistan Campaign Medal (2012), the Non-Article 5 NATO Medal (2012), the National Defense Service Medal (2009), and the Global War on Terrorism Medal (2009).
