How “Direct” Regulation CF Offerings Are Transforming Crowdfunding

Regulation CF has gained significant popularity as an exemption for raising capital from investors. Regulation CF allows general advertising of the securities offering and allows accredited and non-accredited investors to participate.

Once downside of Regulation CF is the old rules required launching your campaign on expensive and crowded SEC approved crowdfunding platforms. These platforms typically want 6-8% commissions, equity in your company, and they control your prospect data. Further, only a few clicks away are dozens if not hundreds of companies in your industry with competing investment opportunities.

In March of 2021 – the SEC made two major rules changes; (a) they took the annual CF limit to $5m and; (b) they now allow FINRA broker dealers to serve as your Reg CF intermediary.

By allowing FINRA broker dealers to serve as securities sales intermediaries – the SEC essentially opened the door to Reg CF offerings executing as “mini Reg A” offerings. The secret? Having a proper Regulation CF raise portal built and launched with a broker dealer to administer the raise.

Benefits?

– Lower cost (3% commission and no equity)
– You control your prospect data
– Custom Reg CF raise page and platform with no other issuers competing with your offering
– Ability to access the entire investing public

Red Rock Securities Law provides all three components:

– The SEC offering preparation legal services
– FINRA broker dealer access
– Custom Regulation CF Raise Portal Build
